CALL FOR VENDOR TERMS & CONDITIONS

BOOKING

1. All submissions/entries will be via this form only. Seperate emails and other communication formats will not be entertained.
2. Please read all details and ensure forms are filled up accurately to avoid any disputes. Incomplete forms will automatically be void.

RENTAL

1. Booth rental fee shall be collected by TOOLART LLP (Event Organiser) upon acceptance of this contract. Booth rental(s) are strictly non-refundable unless event is cancelled by the Organizer.
2. Each booth will be a total of SGD $450 for 03 days which needs to be paid before 15 September 2019.

OPERATION

1. Vendor(s) are only allowed to setup on the day of the event and must set up / teardown 1 hour before the event start / ends.
2. Vendor(s) who did not show up upon booth confirmation notice from TOOLART LLP at the event may result in forfeiting the booth.
3. Vendors without valid Booth Confirmation Notice from TOOLART LLP, will be asked to leave the venue/premises. TOOLART LLP will not take liability or bear any expenses form the arising consequences.
4. Vendor(s) are not allowed to bring their own tables, chairs, stools, etc. Additional chair(s) could be rented at SGD $4 per day per chair.

ORDERLY BEHAVIOR OF VENDOR(S):

1. Vendor(s) are hereby given notice to conduct its business in a professional manner so as not to give cause for complaints from occupants of the building or the public and to ensure that the image of TOOLART LLP is not adversely affected. Vendor(s) shall respect the health and safety of fellow Vendor(s). No acts or threats of physical and/or verbal violence against another person (including sexual violence), disorderly conduct, and / or possession of dangerous articles (such as firearms, explosive materials, etc.) are allowed.

CONDITIONS AND RESTRICTIONS

1. No person other than the authorized staff or agents of TOOLART LLP shall be permitted to remain on the Premises after the closing hours.
2. Except during the hours of the Event, no person shall be admitted to the Premises unless on official business.
3. No infant in arms shall be admitted to the event unless otherwise stated.
4. Intoxicating or other liquors, beverages and food shall not be consumed on the Premises other than in the place and space allocated for such purpose.
5. Cooking is not allowed in any part of the Premises.
6. According to Singapore’s Smoking (Prohibition In Certain Places) Act (Cap 310), no smoking is allowed in the Premises, which includes any part of the stage. Stage performers are not exempted under the law even if it is necessary for the business of the Event.
7. "Smoking" with its grammatical variations, means inhaling and expelling the smoke of tobacco or any other substance and includes the holding of any cigar, cigarette, pipe or any other form of tobacco product which is a light or emitting smoke.
8. No striking of matches or igniting of gas lighters will be allowed in the Premises.
9. Screws, nails or “blue-tack” adhesives, masking tape, double-sided tape, or any devices of any description likely to deface the walls, floors or ceilings are not allowed to be used on any part of the Premises.
10. Any materials, goods, equipment, etc shall not be dragged in the Venue. For heavy loads, trolleys with rubber castors are to be used.
11. No striking of matches or igniting of gas lighters will be allowed in the Premises.
12. TOOLART LLP shall have control over the advertisements, decoration materials or banners appearing on the Premises.
13. All decoration to be used shall be rendered flameproof, preferably in the process of manufacture and to the satisfaction of TOOLART LLP.
14. All passageways and means of exit on the Premises shall be kept clear and no tables, chairs or other obstructing furniture or materials shall be placed at these places without the prior approval.
15. Over-amplification of sound by electronic devices that may cause annoyance to other users of the Premises is strictly prohibited.

ADVERTISING AND PROMOTION

1. Vendor(s) is not permitted to use the Drama Centre Singapore logo or any trademarks on any advertisements and/or publicity or marketing materials whatsoever, and any identification of Premises should be in a descriptive sense using standard text only, e.g. “Drama Centre Singapore Theatre”.

LOSS / DAMAGE TO PROPERTY

1. No properties within the venue shall be removed or to be shifted unless prior approval given by TOOLART LLP. TOOLART LLP reserves the rights to report incident(s) of theft to the Police and it shall be dealt with under laws and regulations in Singapore as imposed by the Government or lawful bodies of the Republic of Singapore.
2. In the event of any loss / removal / damage caused to the venue and its furnishings / fixtures, Vendor(s) will be held liable for the loss, removal or damage and shall pay TOOLART LLP such sums as TOOLART LLP may determine for the loss or damage caused to the aforesaid.
3. Vendor(s) shall be entirely responsible for the property and safe setting of all its decoration, props and other equipment and for the proper working of all its own electrical, mechanical and other appliances.
4. Vendor(s) are allowed to place their products overnight in the venue after operation hours at their own risk. For the avoidance of doubt, under no circumstances will the Vendor(s) hold TOOLART LLP responsible for any personal injuries, damage, lost or defacement of goods or property on display occurring, during, before or after the event, no matter how it was caused.
5. In the event that Vendor(s) want(s) to take the risk, all the products, goods or property must be stored in luggage bags / boxes with a chain and lock.
6. TOOLART LLP will not be held liable and/or responsible for any injuries, illness and / or death that occurred before and / or after and / or during the event.
7. TOOLART LLP is not responsible for poor sales or bad response during the event.
8. All property brought onto the Premises must be removed on or before the expiry event date and time, failing which additional rental charges will be levied. In the event of failure on the part of the vendor(s) to pay extra rental within seven days from the date of written demand, TOOLART LLP reserves the right to dispose of or to destroy such properties as it deems fit. No claim whatsoever shall be made against TOOLART LLP on account of such disposal or destruction.
9. Should any equipment or property of the Premises be broken, damaged or lost, or should the Premises be damaged in any way, vendor(s) shall pay for repairs to make good such damage and / or for any Loss arising therefrom. No equipment or property shall be altered or modified without the prior written approval of TOOLART LLP. If such approval is given, a security deposit (the amount of which shall be determined by TOOLART LLP in its sole and absolute discretion) is required for such purposes.
10. TOOLART LLP shall not be held responsible for any loss of or damage to any properties of vendor(s).
11. Vendor(s) are hereby given notice to keep the space clean and tidy, and shall not litter, deface or damage anything. The area must be cleared and kept clean after use, with the waste, boxes, cardboard and refuse should properly disposed of in the nearest bin centers.
12. Although every precaution is taken, the organizers is not responsible for any delays, loss, dispute or damage to the booth / products / staff of booth. All incidents will be a liability borne by the vendor themselves. Vendors must ensure professionalism at all times.

FORCE MAJEURE AND EMERGENCIES

Any circumstance beyond the reasonable control of either party, which delays, interrupts or prevents the Event from taking place, is defined as “Force Majeure”. Such circumstances shall include but are not limited to:

1. epidemic, pandemic, Act of God, explosion, flood, lightning, storm, tempest, fire or accident;
2. war or threat of war, terrorist attack, breach of peace, insurrection, strike, picketing, lock-out or civil disturbance;
3. acts, restrictions, regulations, bye-laws, prohibitions, demands or measures of any kind on the part of any governmental, parliamentary or local authority, including but not limited to governmental requisition; and/or
4. sabotage, machinery breakdown or power failure not due to either party’s fault;

Upon the occurrence of any of the Force Majeure events mentioned above, each party shall for the duration of such event be relieved of any such obligation under the Hiring Agreement as is affected by the said Force Majeure event, provided that:

1. the provisions of the Hiring Agreement shall remain in force with regard to all other obligation under the Hiring Agreement which are not affected by such Force Majeure event; and
2. each party shall resume its full obligations under the Hiring Agreement upon it becoming aware or notified of the cessation of such Force Majeure event, unless terminated by either party in accordance with the terms of the Hiring Agreement.

Should event be delayed, cancelled or otherwise adversely affected by reason of a Force Majeure event, or should TOOLART LLP implement any Emergency Measures, TOOLART LLP shall not be in Default and Vendor(s) shall not be entitled to any Losses or any remedy or recourse whatsoever against TOOLART LLP for the failure to carry out the event or for the implementation of Emergency Measures.

RIGHTS OF THIRD PARTIES

1. A person who is not a Person In Charge shall have no right under the Contracts (Rights of Third Parties) Act (Cap. 53B) to enforce any of its terms.

TERMS & TERMINATION

1. TOOLART LLP reserves the right to change the venue, date of event at any point of time deemed necessary.
2. TOOLART LLP reserves the right to amend any terms and conditions without prior notice.
3. TOOLART LLP reserves the right to reject any application based on its absolute sole discretion without assigning any reasons.
4. TOOLART LLP reserves the right to terminate this contract immediately by notice in writing to the Vendor(s) without providing any reason. Such termination shall not prejudice the rights and liabilities of either party against the other for any breach of this Contract.
5. TOOLART LLP reserves the right to reject any vendor(s) who are not cooperative with no refunds and / or compensation given.
6. TOOLART LLP reserves the right to the final decision of the booth allocation.
7. TOOLART LLP reserves the right to reject vendor(s) / products that deemed as unsuitable for the event with no explanation given.
8. All payment are non-refundable and non-transferable
9. All vendors, shall be solely responsible for all expenses rendering to the operations of the booth for ABCASS 2019 & it’s organiser including, but not limited to, all costs of equipment, travel, communication expenses, professional fees, fines, licenses, insurance, bond or taxes required or or imposed to the booth space rendered, and any other costs of doing business. ABCASS 2019 & it’s organiser shall not be responsible for any expenses or costs of any kind incurred by vendor/s.
10. All vendors shall accept & agree to indemnify and hold ABCASS 2019 & it’s organise, its owners and agents harmless against any and all liability imposed or claimed, including attorney's fees and other legal expenses, arising directly or indirectly from any act or failure of the vendor. This includes all claims relating to the injury or death of any person or damage to any property.
